These Terms of Service govern your access to and use of the Grace platform and the websites, applications, and services Naveon provides. By using Grace, your organization agrees to these terms on behalf of its personnel and authorized users.
Where a signed master services agreement or order form exists between your organization and Naveon, that agreement controls to the extent it conflicts with anything stated here.
Grace is an engagement and coordination platform for serious illness and community health care. It answers calls, coordinates follow-up, and documents interactions within the protocols your organization defines. Grace operates as operational support and does not make clinical decisions.
The specific capabilities available to your organization depend on your subscription and configuration. Naveon may update, add, or retire features over time.
You agree to use Grace only for lawful purposes and in accordance with your organization's clinical and operational policies. You are responsible for the accuracy of the protocols, escalation rules, and contact information you configure.
You may not use the platform to bypass its safeguards, interfere with its operation, or process data you are not authorized to handle.
Grace is designed to handle protected health information under the Health Insurance Portability and Accountability Act (HIPAA). Naveon acts as a Business Associate and enters into a Business Associate Agreement (BAA) with each covered-entity customer before any protected health information is processed.
Our handling of personal and health information is described in full in the Privacy Policy, which forms part of these terms.
Grace supports the operational work around care. It does not provide medical advice, and it is not a substitute for professional clinical judgment.
The platform is provided on an "as available" basis. Except as expressly stated in a signed agreement, Naveon makes no warranties of any kind regarding the service.
Grace is an operational support tool. It is not medical advice, and Naveon never diagnoses, prescribes, or makes clinical decisions. Clinical judgment always remains with your clinicians.
To the fullest extent permitted by law, Naveon's liability arising from your use of the platform is limited as set out in your signed agreement with us. Naveon is not liable for indirect, incidental, or consequential damages.
Nothing in these terms limits any liability that cannot be limited under applicable law.
The Grace platform, including its software, design, and content, is owned by Naveon and its licensors and is protected by intellectual property law. These terms do not transfer any ownership rights to you.
Your organization retains all rights to the data it provides, and the configuration you create within the platform remains yours.
Either party may end access to the platform in accordance with the terms of your signed agreement. On termination, your right to use Grace stops, and data is handled per the Privacy Policy and your agreement.
Naveon may suspend access where it is necessary to protect the security or integrity of the service.
These terms are governed by and construed in accordance with the laws of the state identified in your organization's agreement with Naveon, without regard to its conflict-of-law provisions.
Any dispute arising from these terms or your use of the platform will be handled in the courts of that jurisdiction.
Naveon may update these terms as the platform and its legal or regulatory context evolve. When we make material changes, we will update the "last updated" date above and, where appropriate, notify your organization directly.
Continued use of the platform after an update means the revised terms apply.
